I Introduction to BCDA
BEIJING CONSTRUCTION DECORATION ASSOCIATION
Acronym: BCDA
BEIJING CONSTRUCTION DECORATION ASSOCIATION (BCDA), sponsored by Beijing Municipal Construction committee, is a non-profit organization with the approval of Beijing Administration Office for Social Groups. The activities of BCDA are guided and supervised by Beijing Municipal Construction committee and Beijing Administration Office for Social Groups.
Tenets: BCDA is devoted to the further development of the whole construction and decoration industry in Beijing, and make contribution to the achievement of Harmonious Society and city for comfortable living, under the guiding ideology of Deng Xiaoping theory and "Three Represents". BCDA is also engaged in providing services to the relevant enterprises with the full implementation of the notion of scientific development, and on the basis of economic growth, observing China’s Constitution, laws, regulations and policies, so as to publicize socialistic notions of honor and shame and moral values, such as self-control and honesty.
Work principles: BCDA serves as the bridge between the government and enterprises, and provides services to both sides. Specifically, to effectively regulate the industry, BCDA cooperates with the government to supervise the activities of the enterprises, and to advocate the notion of self-control; BCDA also acts on behalf of its members, and pursues the legal rights of its members and the whole industry.
Main tasks:
1. To advocate and carry out the Party’s and government’s guidelines and policies, and assist the authorities concerned with administration and supervision of the whole industry.
2. Entrusted by the government, BCDA takes charge of the redaction of relevant decoration standards and codes, as well as prize announcement and release of professional titles.
3. To provide the authorities concerned as reference with the suggestions and advices on the highlights of the industry after careful study and research.
4. To hold the symposium for overseas and domestic enterprises to exchange academic, technological, and economic information. Organize product expositions to popularize the new technology, new technics, new materials and new machines and tools, which are newly adopted during the construction and decoration projects, and introduce measures for environmental protection, in an effort to better advance the scientific and technological progress in construction and decoration industry.
5. To actively implement the staff training program, with its aims to build up high-standard career ethics, to improve technological, administrative and technical skills of the staff, and eventually to enhance the overall performance of the industry as a whole.
6. To urge the enterprises in the industry to enhance their quality control measures, and assist the authorities concerned with the evaluation of both high-grade projects and high-grade enterprises, in order to improve the quality of construction and decoration projects and the overall performance of the enterprises.
7. To redact the publications, samples, manuals, teaching materials and other academic and technical materials relevant to the industry.
8. To set up the website for propaganda and communication, and build up the brand for both BCDA and the industry.
9. To provide consultative services to the enterprises which include the construction and decoration technologies, materials and measures for environmental protections; hold expositions, and the institute will be founded if necessary, which provides services concerning the construction and decoration issues.
10. To protect the legal rights of all members, and assist the authorities to regulate the market of construction and decoration, leaving its development in an orderly and sound form.
11. The specific proposals for these main tasks were brought up by the council on the basis of practical circumstances, and the long-term master plan, the mid-term and short-term plans have been drafted out, the implementation of which is being actively carried out by BCDA.
BCDA has set up some departments, which include construction administration department, professional design council, curtain wall council, house decoration council, training center, executive offices, international communication department and publication department. There are nearly 500 enterprise members by the end of 2007, including some first-grade construction enterprises that can serve as the general contractors, decoration enterprises with first, second and third grade certificates, curtain wall enterprises, and design enterprises with first and second grade of certificates. In addition, the professional design council has 396 individual members. BCDA had taken reelection for the fourth board of directors in Jul. 2006, with the number of directors reaching 128 in total after twice adjustments and supplements.

II The Constitution of Beijing Construction Decoration Association
(Approved at the Fourth Congress on July 3rd, 2006)
Chapter I General Principles
Article 1 The name of the organization is BEIJING CONSTRUCTION DECORATION ASSOCIATION, with the acronym BCDA.
Article 2 BEIJING CONSTRUCTION DECORATION ASSOCIATION (BCDA), sponsored by Beijing Municipal Construction committee, is a non-profit organization with the approval of Beijing Administration Office for Social Groups. The activities of BCDA are guided and supervised by Beijing Municipal Construction Committee and Beijing Administration Office for Social Groups.

Article 4 The activities of BCDA are guided and supervised by Beijing Municipal Construction Committee and Beijing Administration Office for Social Groups.
Chapter II Business Scope
Article 5 Work principles: BCDA serves as the bridge between the government and enterprises, and provides services to both sides. Chapter III Membership
Article 6 BCDA receives enterprises and institutions as group members and individuals as individual members.
Article 7 The prerequisites for membership include the following:
1. Group members
The enterprises and institutions that are willing to join BCDA must be engaged in the design, construction, material-providing tasks that are related to construction and decoration industry. In addition, the enterprises and institutions must obtain the business licenses from government’s business administrative departments and observe the constitution of BCDA, and the construction enterprises must have the graded certificates issued by government’s construction administrative department.
2. Individual members
With the approval and invitation by BCDA, the prestigious experts and individuals who have made great contribution to the industry can become (special) individual members.
Article 8 The procedure for membership admission
1. To submit the application form.
2. To discuss the qualifications by the Secretary Department of BCDA
3. To release the member certificate after approval.
Article 9 Members’ rights:
1. the rights to vote and the rights to be voted.
2. the rights to participate in BCDA’s activities of all kinds.
3. the rights to the services priorities.
4. the rights to criticize and rights of supervision.
5. the rights for volunteer entrance and withdrawal.
Article 10 Members’ obligations
1. to abide by the national and industry’s policies and laws, follow the constitution of BCDAand the industry’s convention, and implement the resolution made by BCDA.
2. to maintain the legal rights, interests and honor of BCDA
3. to carry out and complete the tasks entrusted by BCDA, and provide BCDA with relevant academic, technical information.
4. to actively participate in the all kinds of activities organized by BCDA.
5. to pay membership fee regularly.
Article 11 members who do not pay the membership fee in consecutive two years, or do not participate in any activities organized by BCDA will be regarded as withdrawal from BCDA. After withdrawal, members should submit a written notification, and return the membership certificate.
Article 12 members who severely violate the constitution will be eliminated from BCDA with the voting approval of the board of directors.
Chapter IV Organizational Structure
Article 13 The highest power of BCDA lies with the congress, the responsibilities of which include the following:
1. to establish and revise the constitution;
2. to elect and dismiss the directors and supervisors;
3. to examine the task report and financial report of both board of directors and board of supervisors;
4. to determine the crucial changes and terminate business;
5. to approve crucial resolutions;
6. to determine the tasks and working tenets of BCDA.
Article 14 the congress will not be held until 2/3 members are present, and the resolutions can take into effect with the majority’s votes.
Article 15 the term for the congress lasts for 3 years. In unusual cases, the reelection can be held in advance or postponed with the voting of the board of directors, as must be approved by Beijing Administration Office for Social Groups. The term for the postponed reelection must not exceed 1 year.
Article 16 The board of directors, who is responsible for the congress, is an executive agency of the congress, carrying out the routine work during the intersession period. The term for the board of directors lasts for 3 years, which contains a chairman, a executive vice chairman, a few of vice chairmen, a secretary general and a number of directors.
Article 17 The obligations for the board of directors:
1. to carry out the resolutions made by the congress;
2. to elect and depose chairman, vice chairmen and secretary general;
3. to convene the congress;
4. to give task and financial reports to the congress;
5. to determine the establishment of executive agencies, branches, representative agencies and special entities.
6. to appoint the deputy secretary general;
7. to lead the routine work of all departments of BCDA;
8. to establish the administrative policies of BDCA;
9. to determine usual changes of BCDA;
10. to accept the punishment proposals on the violations of rules brought forward by the board of supervisors, and bring forward the solutions.
Article 18 The board of directors will not be held until 2/3 directors are present, and the resolutions can take into effect with the majority’s votes.
Article 19 The board of directors must convene at least a meeting annually, which can be held by conference call in unusual circumstances.
Article 20 BCDA has set up the board of standing directors, which must be elected by the board of directors and carry out the rights specified in Article 1,3,5,6,7,8,and 9. The board of standing directors is responsible for the board of directors, and the number of standing directors must not exceed 1/3 of the number of directors.
Article 21 The board of standing directors will not be held until at least 2/3 of all standing directors are present, and the resolutions can take into effect with the majority’s votes.
Article 22 The board of standing directors must convene at least a meeting in six months, which can be held by conference call in unusual circumstances.
Article 23 The prerequisites of chairman, vice chairmen and secretary general are as follows:
1. To advocate the route, guidelines, policies of Communist Party of China;
2. To have great influence in the construction and decoration industry;
3. Chairman, vice chairmen and secretary general must not exceed the age of 70;
4. Chairman, vice chairmen and secretary general must be healthy and capable of routine work;
5. To have no criminal record on the limitation to political rights;
6. To have complete civil rights.
Article 24 Chairman is legal representative of BCDA. Vice chairman or secretary general may serve as legal representative when necessary with chairman’s entrustment and approval from Beijing Administration Office for Social Groups.
Chairman of BCDA is forbidden to serve as legal representative of other organizations concurrently. The duration of chairmanship can not exceed two terms.
Article 25 The executive rights of chairman include:
1. To convene and preside over the board of directors and the board of standing directors;
2. To examine the executive outcomes of resolutions made by congress, the board of directors and the board of standing directors;
3. To sign crucial documents on behalf of BCDA.
Article 26 The executive rights of secretary general include:
1. to arrange routine work of the secretary office, and organize the implementation of the annual work plan;
2. to coordinate the tasks in branches, representative agencies and special entities;
3. to nominate vice secretary general and superintendents of executive agencies, branches, representative agencies and special entities, and summit the name list to the board of standing directors for approval;
4. to determine the employment of staff in executive agencies, branches, representative agencies and special entities.
5. to deal with other routine business.
Article 27 the board of supervisors consists of three persons, which were elected by the congress and responsible for the congress with the following obligations:
1. to elect the chief supervisor;
2. to attend the meetings of the board of directors and the board of standing directors;
3. to supervise the activities of leaders and staff accordant with the constitution, laws, and regulations;
4. to supervise the activities of leaders and staff accordant with the constitution, business scope , and administrative rules of BCDA;
5. to supervise the violations of BCDA’s rules and the activities that incurred the reputation damages to BCDA;
6. to supervise the financial situation of BCDA;
7. to bring forward the punishment proposal for the violations of BCDA’s rules and submit it to the board of directors for implementation.
Chapter V Asset Management
Article 28 The funds of BCDA come from the channels as follows:
1. Membership fee;
2. Donation;
3. Government subsidies;
4. The income from business, activities and services within the business scope;
5. Interests;
6. Other legal incomes.
Article 29 BCDA must collect membership fee according to national laws. The membership fee must be paid in the first quarter of the year, and the charges standards for specific members (enterprises and institutions) are as follows:

Enterprises for public decoration, material-manufacturing enterprises, decoration markets -------2000RMB
Decoration enterprise -----1000RMB
Article 30 The membership fee must be used for the activities prescribed in the constitution and the development of the construction and decoration industry. The membership fee must not be distributed among members.
Article 31 BCDA has set up strict financial policies to ensure the legality, authenticity, accuracy and completeness of accounting documents.
Article 32 BCDA has qualified accountants, and accountants are forbidden to serve as cashiers. Accountants must perform accounting calculation, and implement the accounting supervision. The communication procedures must be carried out with the take-over when accountants change jobs.
Article 33 The management on asset of BCDA must comply with China’s financial policies, and must be supervised by the congress and government’s financial department. The assets funded by the state or donation must be under supervision of auditing departments. BCDA will release the financial report to the public in an appropriate way.
Article 34 BCDA must accept financial auditing by Beijing Administration Office for Social Groups and other administrative organizations before reelection or changing the legal representative.
Article 35 The asset of BCDA must not be occupied, privately distributed and embezzled by any persons or organizations.
Article 36 The salary, insurance and welfare of the staff accord with the relevant regulations.
Chapter VI Closure Procedures
Article 37 BCDA can be closed after the board of directors or the board of standing directors bring forward the closure proposals, due to the fulfillment of the tenets, volunteer disbandment, the separation and merger.
Article 38 The closure proposals must be voted by the congress, and submitted to the upper authorities for approval.
Article 39 Before closure, clearing organization must be established under the guidance of Beijing Administration Office for Social Groups and other administrative organizations, implementing the clearing tasks and dealing with the aftermath issues. During the clearing period, BCDA must not carry out any activities.
Article 40 BCDA will be officially closed after Beijing Administration Office for Social Groups has approved the log-out procedure.
Article 41 The remaining funds of BCDA will be used for the development of causes relevant with the tenets, under the supervision of Beijing Administration Office for Social Groups and other administrative organizations.
Chapter VII Appendix
Chapter 42 The constitution was voted for by the congress on Jul. 3, 2006.
Chapter 43 BCDA is responsible for the explanation of the constitution.
Chapter 44 The constitution comes into effect after the sanction by Beijing Administration Office for Social Groups.
